Terms of Service

These terms govern engagements with Tristan Media Group LLC. Where a signed proposal or statement of work says something different, that document wins.

Scope of work

Every engagement is defined by a written proposal listing the deliverables, the timeline and the price. Work outside that list is not included. If you want something added, we will quote it as a change before starting, so nothing appears on an invoice that you did not agree to in advance.

Payment and deposits

• Projects begin with 50% of the fee paid up front. That payment books your dates and starts the work.
• The remaining 50% is due on delivery, before final files are released.
• Invoices are payable within fourteen days. Overdue balances may pause work and may carry interest of 1.5% per month where the law allows.
• Care retainers are billed monthly in advance. Annual prepay is twelve months for the price of eleven.

Timelines

Published timelines assume you return feedback within three business days at each stage and provide the materials we ask for. If feedback stalls for more than fourteen days we may pause the project and reschedule it against our other commitments. Nothing is lost, but the original dates may not survive.

Revisions

The Identity Sprint includes one round of revisions. All other project engagements include two rounds at each stage. A round means one consolidated set of feedback from you, not a series of separate requests. Additional rounds are quoted before we start them.

Cancellation and refunds, projects

• Cancel in writing before work begins and the deposit is refunded in full, less any third party costs already committed.
• Cancel after work has begun and the deposit is not refundable, because it has bought studio time that was held for you and cannot be resold.
• If we cancel, you receive a refund of any fees paid for work not yet delivered.
• Either way you keep whatever has already been completed and paid for.

Cancellation, Brand & Site Care

Care retainers run for a minimum of three months. After that they continue month to month and either of us can end them with thirty days written notice. Monthly fees already paid are not refundable, and unused hours do not roll into the following month. Annual prepayments are refunded on a pro rata basis for whole months remaining, less the value of the free month already given.

Ownership of the work

Once the final invoice is paid, you own the delivered work: the logo, the brand system, the guidelines, the website design and the site build. You also own the photography and video we produce for you, licensed to you for any use, in perpetuity, with no additional fee.

Three things stay with us. Concepts and drafts that you did not select. Our own tools, code libraries and internal methods, which we reuse across clients. And the right to show the completed work in our portfolio and marketing, unless you ask us in writing not to, which we will always honour.

Third party assets such as licensed fonts, plugins and hosting remain the property of their owners and are licensed to you on their own terms. We will tell you which ones a project depends on and what they cost.

Your responsibilities

You confirm that any content you give us, including logos, copy, images and trademarks, is yours to use, and you accept responsibility for it. You agree to name one person who can approve work on your behalf.

Confidentiality

Anything you share with us that is not public stays private, and we expect the same in return. This survives the end of the engagement.

Warranty and liability

We will fix defects in our own work reported within thirty days of delivery at no charge. Beyond that, the work is provided as it is. We are not liable for lost profits or indirect losses, and our total liability for any claim is limited to the fees you paid us for the engagement in question.

Governing law

These terms are governed by the laws of the State of California. Disputes are handled in the courts of Los Angeles County. Before either of us files anything, we agree to spend thirty days genuinely trying to resolve it directly.
